STANDARDS

1. INDEPENDENCE & EXCLUSIVITY OF MANDATE

Each engagement is accepted and performed independently, free from commercial, operational, financial, or advisory conflicts. To safeguard impartiality and protect the integrity of our audit work:

We do not accept simultaneous mandates from different parties relating to the same asset or audit period where differing economic interests exist.

​

  • We do not represent both an Operator and a non-operating partner within the same joint venture environment.

  • We do not provide implementation, accounting setup, system design, or advisory services to entities that we subsequently audit.

  • We do not audit accounting structures, cost allocation models, reporting frameworks, or internal control systems that we have previously designed or implemented.

  • We do not participate in commercial negotiations between joint venture parties regarding disputed audit findings.

  • We do not operate under contingent fee or recovery-based compensation models. Our remuneration is independent of audit outcomes, ensuring objective and unbiased assessment.

 

Our work is strictly engagement-specific and aligned with the contractual audit rights of the appointing party. Maintaining neutrality, professional skepticism, and trust takes precedence over commercial considerations.

2. CONFLICT OF INTEREST MANAGEMENT

A structured conflict-of-interest review is conducted prior to accepting each engagement and is documented. This review is proportionate to the jurisdiction, contractual environment, and complexity of the assignment. This includes:

 

Internal review of existing and past client relationships

Assessment of overlapping mandates in the same geographic or contractual environment

Evaluation of potential commercial or personal conflicts

 

If a potential conflict is identified:

  • The matter is transparently disclosed to the involved parties

  • A structured consultation is initiated

  • Appropriate safeguards are implemented, or

  • The engagement is declined where independence, objectivity, or perceived neutrality cannot be fully assured.

4. CONFIDENTIALITY & INFORMATION GOVERNANCE

Joint venture audits require access to commercially, contractually, and legally sensitive information. Depending on the engagement scope and contractual framework, this may include:

Vendor contracts and supporting commercial documentation

  • Petroleum frameworks, partner contracts, billings, cash calls, and cost allocation models

Client, Operator and partner information is used exclusively within the scope of the agreed audit mandate and is neither disclosed nor reused without explicit authorization. All confidentiality obligations extend beyond the duration of the engagement and remain binding for all personnel and subcontractors involved.

5. OBJECTIVITY, CONTRACTUAL COMPLIANCE & FACT-BASED APPROACH

All audit work is performed strictly within the contractual audit rights granted under the applicable Joint Operating Agreements, Production Sharing Contracts, EPSAs, licence frameworks, and related agreements. We act in full compliance with the agreed Accounting Procedures and recognize that audit rights must be exercised responsibly, proportionately, and in alignment with the intent and structure of the governing contractual framework.

Our conclusions are derived exclusively from contractual interpretation, accounting evidence, and documented operational facts. Findings are supported by verifiable documentation and are assessed within the scope, definitions, and limitations defined in the governing agreements. Information requests are structured, targeted, and risk-oriented. They are designed to obtain sufficient and appropriate evidence while avoiding unnecessary administrative burden. We recognize that Operators must manage ongoing operational activities, resource constraints, and reporting obligations; audit coordination is therefore carefully planned and prioritized to minimize disruption while maintaining evidentiary integrity.

All audit exceptions are developed through documented analytical procedures, reconciliation logic, and traceable evidence chains. Financial impacts are quantified transparently, with clear reference to the contractual basis and accounting treatment applied. Reporting follows a structured format to ensure clarity, comparability, and full traceability from source documentation to conclusion.

No findings are influenced by recovery expectations, commercial pressure, reputational considerations, or adversarial positioning. We do not operate under recovery-based remuneration models, and our assessments remain independent of potential financial outcomes. Reporting remains proportionate, technically robust, and defensible under scrutiny.

6. STRUCTURED AUDIT METHODS & INTERNAL FRAMEWORK

Joint venture audits are contractual in nature and are not governed by a single globally prescribed (statutory) audit standard. While certain jurisdictions provide model JOAs and recognized industry audit guidelines, the precise scope and mechanics of each engagement are ultimately determined by the governing agreement, its applicable Accounting Procedures, the characteristics of the asset, and the Operator’s established systems and practices.

Accordingly, each audit is inherently contract-driven and asset-specific. Scope, risk exposure, operational complexity, fiscal environment, and data structures may vary significantly across jurisdictions and contractual regimes.

To ensure consistency, methodological discipline, and defensible outcomes across this diversity, JV Audit Services GmbH applies a structured audit methodology developed based on years of international audit execution across multiple Operators, countries, and frameworks.

Core audit topics and review areas are internally defined within phase-based audit procedure catalogues addressing identified risk areas. Depending on the agreed scope and contractual framework, relevant procedures are selected and applied through risk-based scoping models, ensuring both flexibility and methodological consistency.

8. TRAVEL & SECURITY STANDARDS

JV Audit Services conducts assignments in diverse international environments, including jurisdictions with elevated security, political, or logistical considerations. Our approach to travel and on-site engagement is structured, risk-aware, and aligned with both client requirements and internal safety standards.

Where on-site presence is required:

​

  • Travel decisions are based on a documented risk assessment of the respective country, region, and specific asset location

  • Client security protocols, site access procedures, and local compliance requirements are strictly observed

  • Engagement planning considers travel safety briefings, visa and entry requirements, insurance coverage, and local regulatory conditions

  • Where appropriate, remote or hybrid audit formats are implemented to mitigate security exposure without compromising audit quality.

 

For assignments in higher-risk jurisdictions, we coordinate closely with the client’s established corporate security and HSE structures. As the majority of our clients operate as international energy groups with defined security frameworks, travel and site access are aligned with their internal security guidance, access controls, and approved travel procedures.
