SHARED COST & ALLOCATION AUDIT SERVICES

Overhead & General Admin Audits

❖

Overhead refers to indirect personnel and administrative costs incurred by the Operator in supporting the venture and allocated to the Joint Account based on equitable allocation keys, primarily through personnel time-writing. Time-writing rates may be calculated by the Operator and, where applicable, externally or statutorily certified for compliance with the relevant Accounting Procedure.

❖

The underlying overhead cost pools, allocation keys and applied rate calculations may alternatively be reviewed within a Joint Venture Audit, if applicable, or through a dedicated Overhead Audit conducted jointly by partners under the same Operator.

❖

Overhead Audits examine the composition of G&A cost pools, including salaries and related costs, taxes, office, IT, and admin expenses. Third-party invoices charged to the overhead pool are assessed for contractual eligibility and appropriate indirect allocation. Personnel costs are tested on a sample basis, anonymized where required. The review ensures that only contractually permitted overhead costs are included, while corporate costs remain with the Operator and no duplication occurs with PCO and cost from affiliates.

❖

Allocation mechanisms, primarily time-writing, are evaluated for consistent and correct application between venture-related and corporate activities. Organizational structures, activity descriptions, and time records are assessed to validate proper attribution. Applied rates are independently recalculated to confirm an accurate cost base and compliant rate derivation.

❖

The objective is to ensure transparent, equitable, and contractcompliant overhead charges, including independent confirmation of allocation methodologies and applied time-writing rates.

Multi Venture Audits

❖

Multi-Venture Allocation refers to centrally incurred operational cost pools distributed across multiple operated ventures based on defined allocation keys, typically covering transportation and logistics costs such as marine vessels, helicopter services, fuel, aviation charges, and consumables, as well as shared infrastructure including onshore bases, warehouses, logistics yards, storage facilities, and regional support centers allocated across several assets.

❖

The audit reviews shared transportation, infrastructure consumable cost pools prior to allocation based on proper source documents such as vendor contracts, purchase orders, invoices, service records, operational logs, vessel reports, flight manifests, consumption records, and allocation schedules.

❖

Allocation methodologies are evaluated for compliance with cost causation principles and the applicable Accounting Procedure. Applied allocation keys, such as operating days, vessel logs, flight manifests, consumption records, or activity drivers, are recalculated to confirm consistent and economically justified distribution.

❖

Vessel movements and offshore activities are independently verified by JV Audit Services GmbH using AIS and GPS-based vessel tracking software to validate operating days, standby periods, port calls, and inter-venture transfers. This tracking-based verification significantly enhances transparency and mitigates cross-charging risks.

❖

The objective is to ensure transparent, operationally substantiated, and contract-compliant allocation of shared costs to non-operating partners.

Rig Cost Allocation Audits

❖

Performed either within the scope of a Joint Venture Audit or as a separately mandated review agreed between the Operator and participating partners, Rig Cost Allocation Audits provide independent verification of rig-related expenditures allocated across multiple ventures under shared drilling contracts or common rig programs, including exploration, appraisal, development, workover, and P&A campaigns where cost-sharing mechanisms materially affect joint account charges.

❖

Review of rig cost pool allocations such as shared rig modifications and upgrades, certifications, standby and waiting-on-weather periods, mobilization and demobilization, and related consumables, with assessment of contractual attribution and cost causation principles.

❖

Reconstruction of rig activity timelines based on drilling reports, well programs, operational logs, and contractual documentation to validate operational alignment with allocated costs.

❖

Application of AIS- and GPS-based vessel tracking analytics to verify offshore rig movements, port calls, standby positions, mobilization routes, billing periods, and inter-venture transfers, with reconciliation against marine reports and operating day calculations.

❖

Integrated contractual, operational, and tracking-based analysis ensuring that rig costs are charged exclusively to ventures deriving demonstrable operational benefit and allocated in accordance with the applicable Accounting Procedures governing the non-operated asset.
